Terms of Service

Welcome to SandBoxForum. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and SandBoxForum ("we", "us", or "our"), governing your access to and use of our analytical algorithms, software dashboards, automated algorithmic trading workflows, application programming interfaces, and related web interfaces located at sandboxforum.site.

By registering an account, browsing our website, or utilizing any platform functionality, you acknowledge that you have read, understood, and agree to be bound by these Terms and our associated policies. If you do not accept these Terms in their entirety, you must immediately discontinue your use of our platform.

1. Platform Nature and Non-Advisory Role

SandBoxForum provides computational tools, algorithmic signal generation, automated parameter routing, and market visualization software designed for digital assets, foreign exchange, and equity derivative contracts. You expressly recognize and agree to the following foundational principles:

  • No Financial Advice: SandBoxForum is a technology developer, not an investment dealer, financial advisory firm, broker-dealer, portfolio manager, or bank under Canadian provincial securities laws or federal frameworks. No output generated by our automated models constitutes investment, financial, tax, or legal advice.
  • Self-Directed Decision Making: All trades, automations, strategy presets, and position parameters are selected, approved, and executed under your independent discretion and sole operational control.
  • External Execution Venues: SandBoxForum does not take custody of user funds or act as an execution clearing broker. Platform automations connect to independent third-party exchanges and liquidity providers via user-supplied API credentials.

2. Eligibility and Account Safeguards

To use our services, you represent and warrant that you have reached the age of majority in your province, territory, or domestic jurisdiction (typically 18 or 19 years old across Canada), possess full legal capacity to enter into binding agreements, and are not subject to sanctions, trading prohibitions, or regulatory disqualifications administered by relevant authorities.

You agree to provide accurate, up-to-date, and verifiable information during registration. You remain solely responsible for safeguarding the confidentiality of your login credentials, two-factor authentication tokens, and API secret keys. You agree to notify us immediately at [email protected] upon discovering any unauthorized entry into or compromise of your account.

3. Permitted Use and Operational Conduct

You agree to use SandBoxForum solely for lawful trading and personal or internal business analysis. You specifically agree not to:

  • Deploy the platform to execute wash trades, spoofing, layered quote manipulation, front-running, or other abusive market practices prohibited across global exchanges;
  • Decompile, reverse engineer, disassemble, or extract proprietary algorithmic logic, source code, or heuristics proprietary to SandBoxForum;
  • Overload, disrupt, or introduce malicious scripts, viruses, or automated scrapers that degrade server integrity or interfere with other participants;
  • Sub-license, resell, or distribute our platform feeds, algorithmic output, or analytical dashboards without explicit prior written authorization.

4. Subscriptions, Fees, and Payments

Certain advanced modules, high-frequency execution pipelines, and predictive indicator modules may require periodic subscription fees. By purchasing an upgraded tier, you agree to pay all applicable rates, transaction fees, and relevant sales taxes (including applicable Canadian GST/PST/QST/HST). Platform fees are billed in advance on recurring intervals and are non-refundable except where mandatory provincial consumer legislation expressly provides otherwise.

5. Intellectual Property Rights

All software architectures, user interfaces, documentation, logos, branding, models, mathematical scripts, visual designs, and copy on SandBoxForum belong exclusively to SandBoxForum and its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to access and interact with the platform strictly in accordance with these Terms.

6. Disclaimer of Warranties

The platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable Canadian law, SandBoxForum disclaims all representations, warranties, conditions, or guarantees of any kind, whether express, implied, statutory, or collateral, including without limitation warranties of merchantability, fitness for a particular purpose, uninterrupted uptime, data accuracy, or error-free execution.

7. Limitation of Liability

Under no circumstances shall SandBoxForum, its directors, employees, affiliates, or licensors be liable for any indirect, incidental, consequential, special, or punitive damages whatsoever, including loss of profits, trading capital, cryptographic tokens, business interruption, or data corruption arising from:

  • Market volatility, sudden price slippage, or flash crashes;
  • Software glitches, latency fluctuations, connectivity failures, or downtime originating from external exchanges or internet backbones;
  • Erroneous API configurations or execution orders configured by the User;
  • Unauthorized access resulting from compromised account keys or end-user hardware failures.

8. Governing Law and Dispute Resolution

These Terms and any disputes or claims arising out of or related to their subject matter shall be governed by, construed, and enforced in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be instituted exclusively in the competent courts sitting in the judicial district of Montréal, Quebec, Canada.

9. Amendments and Inquiries

We reserve the right to revise or update these Terms at any time to reflect software evolutions, regulatory updates, or operational adjustments. Continued use of the platform following the publication of revised terms constitutes your acceptance.
